1. Agreement
These Terms of Service ("Terms") govern access to and use of TheZone Receipt (the "Service"), a progressive web application and related APIs provided by Thezone POS & Payments Inc. ("TheZone", "we", "us"). By creating an account, signing in, or using the Service, you agree to these Terms, our Privacy Policy, and our Customer Data Use Agreement (together, the "Agreements"). If you do not agree, do not use the Service.
If you use the Service on behalf of a business, you represent that you have authority to bind that business and that "you" includes the business entity.
2. Description of the Service
The Service helps users capture, store, organize, and export receipt and invoice images and related expense metadata (such as merchant name, amounts, tax lines, and categories) using optical character recognition (OCR), rules, and optional artificial intelligence (AI) assistance.
The Service is a record-keeping and productivity tool only. It is not accounting, tax, legal, or financial advice. The Service does not file returns with the Canada Revenue Agency (CRA), Internal Revenue Service (IRS), or any other authority.
3. No professional advice — important disclaimer
Amounts, tax types (GST, HST, PST, QST, VAT, sales tax, etc.), categories, and reports are generated from automated processing and user input. They may be incomplete or incorrect.
You are solely responsible for verifying every receipt, amount, tax treatment, category, and export before relying on them for bookkeeping, GST/HST claims, income tax, audits, or any legal purpose. Consult a qualified accountant or tax professional for compliance decisions.
- OCR and AI can misread digits, decimal points, merchant names, and tax lines.
- Card payment slips may omit detail; estimated tax may be applied and flagged for review.
- Items marked for review or not confirmed by you must not be treated as final ledger entries unless you verify them.
4. Account and security
You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account.
We may suspend or terminate access for violation of these Terms, suspected fraud, abuse, or risk to the Service or other users.
5. Acceptable use
You agree not to:
- Upload content you do not have the right to use, or unlawful content.
- Attempt to reverse engineer, scrape, overload, or circumvent security or usage limits.
- Use the Service to misrepresent expenses or evade tax or legal obligations.
- Share accounts in a way that violates applicable privacy or employment rules without proper authorization.
6. Your content
You retain ownership of receipt images and data you submit. You grant TheZone a limited license to host, process, transmit, and display your content solely to operate and improve the Service as described in the Privacy Policy and Customer Data Use Agreement.
You represent that you have obtained any consents required for personal information visible on receipts (e.g., employees, customers, cardholders).
7. Plans, limits, and changes
Features, storage, daily upload limits, and pricing may change. Free or promotional tiers may include advertising or referral prompts.
We may modify, suspend, or discontinue the Service or features with reasonable notice where practicable. Continued use after changes constitutes acceptance of updated Terms when we post them and update the effective date.
8. Third-party services
The Service relies on third-party infrastructure and processors (including Google Cloud / Firebase hosting, storage, OCR, and optional Gemini API features). Their terms apply to their services. We are not responsible for third-party outages or policy changes beyond our reasonable control.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL OUTPUT (INCLUDING OCR TEXT, CLASSIFICATIONS, TAX SUMMARIES, AND REPORTS) ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or that results will meet your tax, accounting, or audit requirements.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEZONE POS & PAYMENTS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TAX PENALTIES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
Our total aggregate liability for all claims arising from or related to the Service in any twelve (12) month period shall not exceed the greater of (a) one hundred Canadian dollars (CAD $100) or (b) the fees you paid to TheZone for the Service in that period.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You will defend, indemnify, and hold harmless TheZone and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
12. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
You agree to the exclusive jurisdiction of the courts located in British Columbia, Canada, for disputes arising from these Terms or the Service, except where mandatory consumer protection law requires otherwise.
